• Provider — GoodWeb Ltd., EDRPOU 43292926.
• Client — an individual or legal entity who accepts this Offer by payment.
• Services — a set of works in SEO, paid advertising, web development and analytics.
• Offer — the text of this agreement, published at goodweb.ua.

Provider undertakes to deliver Services whose scope and price are agreed in a separate Statement of Work (SoW) or proposal, and Client undertakes to accept and pay for them under this Offer.

1. Client submits a request via site, phone or email.
2. Provider sends a brief and conducts an interview to clarify the task.
3. Provider issues a proposal with budget and timeline.
4. Parties sign the SoW (or accept via payment).
5. Provider executes work in stages, sharing weekly/monthly reports.
6. At each milestone — we sign an acceptance certificate.

Price is fixed in the SoW or invoice. Standard payment models:

• 100% upfront — for one-off work (audit, landing).
• 50/50 — for project work (websites, e-commerce).
• Monthly — for retainers (SEO, paid ads).

Payment is accepted in UAH, USD or EUR via bank transfer or payment systems (LiqPay, Wise). Prices are VAT-exempt — Provider uses Ukraine’s simplified tax system.

All deliverables created by the Provider (copy, graphics, code, design) become the property of the Client after full payment of the corresponding stage.

Provider reserves the right to showcase delivered work in its portfolio (with a link to the Client’s site) — unless otherwise stated in the SoW or NDA.

Provider guarantees confidentiality of the Client’s commercial secrets: financial metrics, strategies, site and analytics access. On request — we sign a separate NDA before starting work.

Provider is liable for the quality and timeliness of work per the SoW.

Provider is not liable for:

• Changes in search-engine and ad-platform algorithms.
• Actions of third parties (hosting, domain registrars, payment systems).
• Results depending on factors outside Provider’s control (ad budget, competitor activity, seasonality).

Client is responsible for the accuracy of information provided and timely payment.

The agreement is effective from payment until acceptance of the final stage. Either party may terminate with 15 business days’ notice — Client pays for work delivered to date, Provider hands over all artefacts.
